Terms and Conditions

1. Who we are, and what this covers
Apex Human is operated by Apex Human Technology, Inc. ("Apex Human", "we", "us", "our"), a corporation organised under the laws of the Republic of the Philippines, with its registered office at Rufino Pacific Tower, Legaspi Village, Ayala Avenue, San Lorenzo, Makati City, Philippines and SEC registration number SEC260826-OC10THPNHTCLCIR.
These Terms govern your use of apexhuman.ai and the Apex Human learning platform (the "Platform"), and your purchase of any course we sell.
Two other documents form part of these Terms, and you should read them too:
- the Privacy Policy, which explains what we do with your information, and
- the Refund Policy, which explains when we give money back.
By creating an account you agree to these Terms. If you do not agree to them, please do not create an account.
2. Who may use Apex Human
2.1 You must be at least 13 years old to hold an account.
2.2 You confirm this when you sign up. Creating an account requires you to tick a box confirming that you are at least 13, and that if you are under 18 a parent or legal guardian has read these Terms and agrees to them. We rely on what you tick. We do not ask for documents and we cannot check it, so that confirmation is yours to make honestly, or your parent's or guardian's.
2.3 If you are under 18, a parent or legal guardian must read and accept these Terms with you, and the account must be held with their knowledge and permission. Under Philippine law a person under 18 cannot enter into a binding contract, so where the learner is a minor the contract for the course is with the parent or guardian, who is responsible for paying for it and for how the Platform is used.
2.4 Under 13 we cannot accept at all. If we learn that an account is held by someone under 13 we will close it and delete what we hold about them, as section 12 of the Privacy Policy describes. A parent or legal guardian can ask us to do that at any time at privacy@apexhuman.ai, and so can anyone else who tells us. We treat closing an account for this reason as our own decision rather than as your breach, so section 11.4 applies and we refund what was paid for a course that can no longer be used.
2.5 Purchases must be made by someone aged 18 or over, using a payment method they are entitled to use.
2.6 An account is for one person. Access to a course is personal to you, so please do not share your login, and do not let anyone else use your account to reach paid material.
2.7 Give us accurate details, keep your password to yourself, and tell us promptly at support@apexhuman.ai if you think someone else has got into your account.
2.8 Teaching on Apex Human is a separate lane. Subject experts apply at /teach/apply, and whether to approve an application is our decision.
3. What you are buying
3.1 Two kinds of course.
- Online. Self-paced, pre-recorded lessons, plus a workspace where you build a real
product with an AI agent (section 6).
- On-site. A place at an in-person workshop on a stated date. There are no online
lessons and no workspace with an on-site course.
3.2 One payment, per course. Every course is a single purchase in Philippine pesos. Apex Human is not a subscription. We will not charge you again for a course you have bought, and there is nothing to cancel.
3.3 What "yours for life" means. It means we will not charge you again, and we will not put your course behind a renewal. It does not mean the course will exist forever. It lasts for as long as we continue to operate the Platform and offer that course. If we retire a course you have paid for, we will give you at least 30 days' notice, and for an online course we will give you a way to export the product you built and download any materials the Platform offers as downloads.
3.4 Courses change. We may update, re-record, reorder, add or replace lessons, usually because the tools being taught have changed, which in this subject they do constantly. We will not materially cut down the substance of a course you have already bought without telling you.
3.5 Pre-orders. Some courses can be bought before they open. The page will say so, and will show the date access is expected to open. You are paying then for access later. If we cancel that launch, or push it back more than 30 days beyond the date you were shown, you may have a full refund. The Refund Policy sets this out.
3.6 On-site workshops. An on-site purchase is a seat in a room on a date. Where a booking covers several seats, the buyer receives invitations to hand out, and is responsible for who they give them to. If you cannot attend, tell us at least 7 days beforehand and we will move you to the next scheduled run of that workshop where one exists.
3.7 Free and complimentary access. We sometimes grant access without payment, to on-site attendees, to staff, or as a courtesy. These Terms apply in full, nothing was paid so no refund can arise, and complimentary access may be withdrawn.
4. Prices and payment
4.1 Prices are shown in Philippine pesos and include VAT where it applies.
4.2 Payment is taken on our behalf by a third-party payment processor. It supports payment by card and by e-wallet, and the methods actually available are the ones shown to you at checkout. You enter your payment details on the processor's own checkout page rather than on ours. We never receive or store your card number or your e-wallet credentials.
4.3 Access is granted when the processor confirms the payment has succeeded, not when the payment is started. If a payment fails, is abandoned, or is never confirmed, no access is granted and nothing is owed.
4.4 Discount codes apply as published: one per order unless we say otherwise, they may be withdrawn or expire, they have no cash value, and they cannot be applied after a purchase is complete.
4.5 We email a receipt for every purchase, and your account keeps a record of everything you have bought at Purchases & billing.
4.6 If a payment is later reversed, disputed or found to be fraudulent, we may suspend access to the course while we sort it out.
5. Course content, and what you may not do with it
5.1 The course material, meaning the videos, transcripts, written lessons, slide decks, quizzes, and the way a course is put together, belongs to us or to the people we licence it from. Buying a course gives you a personal, non-transferable licence to use it for your own learning, for as long as section 3.3 says your access lasts.
5.2 You may not:
- share, resell, sublicence, rent or give away your access;
- download, screen-record, re-host, republish or redistribute lesson videos;
- share the video links the Platform generates. They are signed and they expire, and passing
one on is a breach of these Terms whether or not it still works when it arrives;
- scrape or bulk-extract course material, by hand or by tool;
- use our course material to train a machine-learning model;
- remove or obscure any ownership notice; or
- use our material to build or run a competing course.
5.3 You may take your own notes, keep anything the Platform explicitly offers you as a download, and keep and use everything you build (section 6.6).
6. The workspace, the machine it runs on, and the product you build
6.1 An online course gives you a workspace where an AI agent builds a product with you, on a machine we run for you.
6.2 It is a learning environment, not production hosting. We do not promise it will be available at any particular moment. It may be restarted, rebuilt, moved, resized or reclaimed, and a preview address may change. Please keep your own copy of anything you would be upset to lose.
6.3 Fair use. The workspace is for your coursework. You may not use it to mine cryptocurrency, run scrapers, bots or spam, send bulk email, host or distribute unlawful material, attack or probe anything, store other people's personal information unlawfully, or run a business workload that has nothing to do with the course.
6.4 Usage limits apply, both on how much you can build in a period and on the computing cost behind it. We may slow, pause or suspend a workspace that is being abused or is costing disproportionately, and we will tell you why.
6.5 We may reclaim a workspace that has been unused for 90 days, after giving you at least 14 days' notice and a chance to export your work.
6.6 What you build is yours. You own the product you build, its code, its content and its name. We claim no ownership of it, and we take no share of anything it earns. We take only the narrow licence we need in order to run the service: to host, run, store, back up and display your work back to you, and to let the professor teaching your course see your work so they can help you and decide on your certificate.
6.7 Showing your product to anyone else is covered by section 9, and only ever happens with your permission.
7. Your own accounts and API keys
7.1 Courses ask you to open accounts with third-party services, such as AI providers and hosting platforms, and to paste their keys into the Platform so the product you are building can use them.
7.2 We pass those values into your own workspace so your product can use them. We do not keep them in our database. We record only the name of the setting you filled in and when you did it, never the value. Keys you paste while a course walks you through setup are stripped out of the text before we store what you typed.
7.3 Those accounts are yours. You are responsible for keeping to their terms, and for everything they bill you, including AI usage, hosting, domains and anything else. We are not a party to those agreements, we have no visibility of what they charge you, and we cannot refund them.
7.4 Keep your keys to yourself, rotate anything you think has leaked, and never paste someone else's credentials into the Platform.
8. The AI features
8.1 The Platform uses AI in three places: the tutor that answers your questions while you learn, the agent that builds your product with you, and internal tools our staff use to draft course copy.
8.2 AI output can be wrong. It can be incomplete, out of date, or confidently mistaken. Please check anything that matters before you rely on it. It is not professional advice, whether legal, medical, financial, tax or security advice, and it is not a substitute for getting proper advice about your own situation.
8.3 The AI is a teaching aid. Nothing about it is a promise that the product you build will work, be secure, be lawful where you intend to use it, or earn you anything. What you ship is your responsibility, including whether it complies with the law and with the terms of the services it depends on.
8.4 Please do not misuse it. That means no attempts to extract our instructions or system prompts, no using the tutor for material unrelated to your course, and nothing unlawful, abusive, or designed to make it produce harmful output.
8.5 Fair-use limits apply to the tutor and to the build agent, and may change as we learn what real use looks like.
8.6 What we send to our AI provider, and what we deliberately do not, is set out in the Privacy Policy.
8.7 These features are supplied to us by a third-party AI provider whose terms place extra requirements on a product that people under 18 use. Where the learner is a minor, the parent or legal guardian who accepted these Terms is agreeing to their use of these features as well. Section 12 of the Privacy Policy explains what that means for a minor's information.
9. Using your work in our marketing, which is optional and yours to withdraw
9.1 We show a student's product publicly only with that student's permission.
9.2 We ask when you sign up, as a separate, optional tick-box. It is not a condition of creating an account, buying a course or using anything, and leaving it unticked changes nothing at all about what you get.
9.3 If you do give permission, you grant us a non-exclusive, royalty-free licence to show screenshots of, and describe, the product you build on an Apex Human course, in our marketing and teaching material. It does not transfer ownership of anything, and it does not include your name, photograph or a quote from you.
9.4 You can withdraw it whenever you like, from your account page or by emailing privacy@apexhuman.ai. We will stop using your work in anything new. We cannot recall material already printed or already published elsewhere, but we will remove it from our own channels within 30 days.
9.5 Naming you, quoting you, or filming you is always asked separately, each time.
10. Certificates
10.1 Finishing a course as that course requires results in an Apex Human certificate. Whether the requirements are met is decided by the professor teaching the course, or by us.
10.2 What it is. A record that you completed a course with us, and that we stand behind it. What it is not: an academic qualification, an accredited or government-recognised award, a licence to practise anything, or a statement about your employability.
10.3 Certificates can be checked publicly. Each one carries a serial number and a private verification link, printed as a QR code, which anyone you give it to can open without an account. That page shows your name, the course, the date, and whether the credential still stands. Handing that link to an employer is the point of it, and it is your choice whether to. The page cannot be found by guessing, and there is no directory of graduates.
10.4 We may withdraw a credential if the purchase behind it is refunded or reversed, if it was obtained by cheating or misrepresentation, or if we are legally required to. A withdrawn credential still resolves at its link and says plainly that it was withdrawn, rather than vanishing.
11. Suspension, and ending your account
11.1 You may stop using the Platform at any time, and ask us to close your account. The Privacy Policy explains what then happens to your information.
11.2 We may suspend or close an account for a serious or repeated breach of these Terms, in particular sharing paid content, abusing the workspace, payment fraud or chargeback abuse, harassing students, professors or staff, or anything unlawful.
11.3 Where it is practical we will tell you what the problem is and give you a chance to put it right first. Where it is not, meaning fraud, illegality, or a risk to other people, we may act immediately.
11.4 If we close your account because you breached these Terms, no refund is due. If we close it for any other reason of our own, we will refund what you paid for any course you can no longer use, on a fair basis.
11.5 Closing an account ends access to courses and to your workspace. Certificates already issued continue to stand unless they are withdrawn under 10.4.
12. Availability, and what we do and do not promise
12.1 We work to keep the Platform running, but we do not promise uninterrupted service. Maintenance happens, and so do outages at the providers we depend on for video, payments, hosting, email and AI.
12.2 Other than the rights you have under Philippine law that cannot be excluded, including under the Consumer Act of the Philippines (RA 7394) and the Civil Code, the Platform and its content are provided as they are, without further warranty.
12.3 Nothing in these Terms takes away a right you have by law that cannot be taken away. If any part of these Terms tried to, that part does not apply.
13. Our liability
13.1 We are responsible for loss we cause you by breaking these Terms or by failing to use reasonable care. We are not responsible for loss that was not a foreseeable result of that.
13.2 In particular, we are not responsible for what you build or publish, what your own third-party accounts charge you, profit or revenue or opportunity you hoped a product built on a course would bring, work you did not keep a copy of, or the acts and outages of third-party providers.
13.3 Our total liability in connection with any course is limited to the amount you paid for that course in the twelve months before the claim arose.
13.4 Sections 13.1 to 13.3 do not limit liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.
14. Refunds
The Refund Policy forms part of these Terms, and sets out when a refund is available, when it is not, and how to ask for one.
15. Changes to these Terms
15.1 We may change these Terms, for legal reasons or because the product changes.
15.2 For any change that materially affects you, we will tell you by email and in the Platform at least 15 days before it takes effect.
15.3 Using the Platform after a change takes effect means you accept it. If you do not accept it, stop using the Platform and tell us. If a material change genuinely disadvantages you in respect of a course you have already paid for, tell us and we will discuss a refund of that course, even where the Refund Policy would not otherwise give one.
15.4 We keep dated previous versions of these Terms available on request.
16. Complaints, governing law, and where a dispute goes
16.1 Please talk to us first. For anything about money, use Purchases & billing in your account, which attaches the purchase to your message. For anything else, email support@apexhuman.ai. We aim to reply within 3 business days.
16.2 For a complaint about your personal information, follow the Privacy Policy: our Data Protection Officer first, then the National Privacy Commission.
16.3 As a consumer you may also take a complaint to the Department of Trade and Industry.
16.4 These Terms are governed by the laws of the Republic of the Philippines. The courts of Makati City, Philippines have jurisdiction over any dispute, without affecting any right you have to bring a claim in the courts where you live.
16.5 If any provision of these Terms is found unenforceable, the rest continues to apply.
16.6 These Terms, with the Privacy Policy and the Refund Policy, are the whole agreement between us about the Platform. We may transfer our rights and obligations under them to another company as part of a reorganisation or sale of the business, on notice to you and without reducing your rights. You may not transfer yours.
